• Training materials and implementation guides
• All derivative works and improvements thereto

3.2 Copyright Protection

All content, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of OnTrack Dynamics LLC and is protected by United States and international copyright laws.

3.3 Trade Secrets

Our CMMC implementation processes, client assessment methodologies, and operational procedures constitute valuable trade secrets. Any unauthorized disclosure or use is prohibited.

4. Service Terms

4.1 CMMC Consulting Services

OnTrack Dynamics LLC provides federal cybersecurity consulting with guaranteed 120-day CMMC Level 2 compliance implementation. All services are performed under strict confidentiality and security protocols.

4.2 Service Guarantee

Our 120-day implementation guarantee is subject to:

• Client cooperation and timely response to requirements
• Accurate initial environment assessment
• No material changes to scope during implementation
• Compliance with our implementation methodology

5. Confidentiality & Non-Disclosure

5.1 Client Information

We maintain strict confidentiality of all client information, including but not limited to:

• Technical infrastructure details
• Security vulnerabilities and assessments
• Business processes and procedures
• Federal contract information

5.2 Proprietary Information Protection

Clients agree to maintain confidentiality of OnTrack Dynamics LLC proprietary methodologies, processes, and trade secrets. This obligation survives termination of any agreement.

6. Prohibited Uses

You may not:

• Reverse engineer, decompile, or attempt to discover our methodologies
• Copy, reproduce, or distribute our proprietary materials
• Use our services for any unlawful purpose
• Interfere with or disrupt our services or servers
• Share, resell, or sublicense our methodologies to third parties

7. Federal Contractor Compliance

7.1 Security Clearance

OnTrack Dynamics LLC personnel hold appropriate federal security clearances and undergo continuous background monitoring as required for federal contractor services.

7.2 Compliance Standards

All services are performed in accordance with:

• NIST SP 800-171 requirements
• CMMC Level 2 standards
• Federal information security requirements
• DoD contractor security protocols

8. Limitation of Liability

OnTrack Dynamics LLC's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

9. Indemnification

Client agrees to indemnify and hold harmless OnTrack Dynamics LLC from any claims, damages, or expenses arising from:

• Client's breach of these terms
• Client's violation of any law or regulation
• Client's unauthorized use of proprietary materials
• Third-party claims related to client's business operations

10. Termination

Either party may terminate services with 30 days written notice. Confidentiality obligations survive termination indefinitely.

11. Governing Law

These terms are governed by the laws of the United States and the state of South Carolina. Any disputes shall be resolved in the appropriate courts of South Carolina.
